Job Summary: We are seeking a skilled Company Secretary to join our team. The Company Secretary will be responsible for ensuring that the company complies with legal and regulatory requirements, maintaining corporate records, and facilitating communication between the board of directors, management, and shareholders. The ideal candidate will possess strong organizational skills, attention to detail, and the ability to work independently.

Responsibilities:

  1. Ensure compliance with company law and regulatory requirements.
  2. Maintain statutory registers and records, including minutes of meetings and resolutions.
  3. Prepare and file statutory returns and reports with government agencies.
  4. Coordinate board meetings, including preparing agendas, taking minutes, and distributing meeting materials.
  5. Facilitate communication between the board of directors, management, and shareholders.
  6. Assist in the organization of shareholder meetings and annual general meetings.
  7. Advise the board on corporate governance matters and best practices.
  8. Assist in the drafting and review of corporate governance policies and procedures.
  9. Monitor changes in relevant laws and regulations and ensure compliance.
  10. Handle legal and administrative tasks as assigned by management.

Requirements:

  1. Bachelor’s degree in Law, Business Administration, or related field.
  2. Qualified Company Secretary (e.g., ICSA qualification) preferred.
  3. Proven experience in a similar role, preferably in a corporate environment.
  4. Strong knowledge of company law and corporate governance principles.
  5. Excellent organizational and multitasking abilities.
  6. Attention to detail and accuracy in record-keeping.
  7. Excellent communication and interpersonal skills.
  8. Ability to work independently and under pressure.
  9. Proficiency in Microsoft Office suite and corporate governance software.
  10. Integrity and professionalism in handling confidential information.

Preferred Qualifications:

  1. Master’s degree in Law, Business Administration, or related field.
  2. Experience working with publicly traded companies.
  3. Knowledge of relevant industry regulations and compliance standards.
  4. Experience in drafting legal documents and contracts.
  5. Familiarity with corporate secretarial software.

Work Environment: This position primarily operates in an office setting. Occasional travel may be required for meetings or corporate events.
